Terms of Service

Terms for using Always Staffed websites, dashboards, demos, payment flows, client agents, connected-account workflows, AI-assisted operations, and managed content services.

Client agreements: If you have a signed service agreement, statement of work, order form, or data processing addendum with Always Staffed, that document may add more specific terms for the covered services.

1. Scope and acceptance

Always Staffed is a service brand operated by NBGallo Enterprises Ltd., a corporation incorporated under the Canada Business Corporations Act under corporation number 1482773-2 and registered to carry on business in Alberta. In these Terms, “Always Staffed,” “we,” “us,” and “our” mean NBGallo Enterprises Ltd.

These Terms apply to Always Staffed websites, including alwaysstaffed.com and dashboard.alwaysstaffed.com, lead forms, client dashboards, Telegram-based client agents, AI-assisted workflows, onboarding flows, payment links, demos, and related support channels.

By using the sites, creating a dashboard account, submitting a form, paying an invoice, connecting an account, or using a client workflow, you agree to these Terms. If you are using the services for a company, you represent that you have authority to bind that company.

2. Relationship to signed contracts

Paid client services may also be governed by a separate proposal, statement of work, master services agreement, data processing addendum, platform authorization, or other signed agreement. If there is a conflict, the signed agreement controls for the covered services.

These public Terms do not replace client-specific legal contracts. They set baseline rules for site, dashboard, demo, and service use until more specific written terms apply.

3. Services

Always Staffed builds, configures, and manages AI-assisted operating workflows. Services may include social-content operations, media organization, post drafting, content calendars, approval queues, dashboard visibility, account-connection support, lead capture, CRM updates, reporting, AI receptionist or phone workflows, and custom business automation.

A form submission, demo call, sales conversation, dashboard signup, or payment does not guarantee that every requested workflow, platform, feature, or integration can be delivered. Scope, timing, deliverables, pricing, third party tools, and client responsibilities are confirmed in a proposal, checkout flow, onboarding process, or written agreement.

4. Dashboard and client accounts

Dashboard access is provided for approved clients or invited users. You are responsible for keeping account credentials secure, using accurate information, and telling us promptly about unauthorized access or account changes.

We may suspend or limit dashboard access if we believe an account is being misused, compromised, used outside the agreed scope, or used in a way that could harm Always Staffed, another client, a third party platform, or the public.

5. Client responsibilities

6. Connected accounts and platform authorization

Some workflows require connection to third party tools or platforms. By asking us to connect or use an account, you represent that you have the required rights, authority, permissions, and consents.

Connected accounts may include AI providers, social platforms, CRMs, calendars, email tools, phone systems, payment tools, analytics, databases, and other business systems. You remain responsible for your own accounts, subscriptions, settings, permissions, users, security, policies, and provider relationship.

New integrations, account connections, OAuth/device-code flows, API keys, provider changes, and platform add-ons must be scoped and approved through Always Staffed. A casual chat request does not authorize a new tool connection unless the approved workflow already covers that tool and action.

For LinkedIn, you authorize Always Staffed to access and operate only the LinkedIn accounts and Pages identified in the approved scope. You represent that you are an authorized administrator and may grant that access. Always Staffed will use official approved APIs and permissions only. We may store aggregate Page and post performance metrics for up to one year solely for reporting and content recommendations for the same Page. We do not store individual member-level data for this use, and we delete covered LinkedIn data within 10 days after service end or a verified client deletion request.

For Meta, Facebook, and Instagram, performance learning is limited to the same client and the same platform under active, purpose-limited authorization. No client or platform data is applied to another client or platform. Exact performance metrics are displayed live by default rather than stored as history.

Each connection requires a platform-specific authorization notice and affirmative action before OAuth. Disconnecting a platform stops new collection and begins selective deletion and revocation for that platform without deleting another platform's authorized records.

7. Third party platforms and outages

Always Staffed workflows may depend on providers such as database, authentication, storage, hosting, routing, payment, email, notification, analytics, connected-app authorization, and AI providers, including tools such as Netlify, Cloudflare, Google Analytics, PostHog, Stripe, Resend, Telegram, OpenAI, ChatGPT/Codex, xAI/Grok, ElevenLabs, Twilio, Meta, Instagram, Facebook, LinkedIn, X, HubSpot, and other client-approved tools.

We do not control third party uptime, access, API limits, app review decisions, pricing changes, feature removals, account suspensions, provider outages, rate limits, deliverability, reach, engagement, platform enforcement, or data availability. We are not responsible for third party failures or changes, although we may help diagnose or adjust workflows when possible within the agreed scope.

8. AI outputs, drafts, and review

AI-assisted outputs may include captions, summaries, classifications, recommendations, asset descriptions, call summaries, replies, workflow notes, and draft content. AI output may be wrong, incomplete, duplicated, biased, outdated, or unsuitable for a specific business, customer, offer, law, or platform.

You are responsible for reviewing AI-assisted output before relying on it or approving it for publishing, sending, customer communication, compliance, financial, legal, medical, hiring, or other sensitive use. Always Staffed does not provide legal, financial, medical, tax, employment, or compliance advice.

9. Approval and automation limits

Unless a written agreement or approved workflow says otherwise, Always Staffed does not publish, schedule, send, delete, charge, change important records, or take sensitive customer-impacting actions without human approval through the configured workflow.

Some automations may still prepare drafts, summaries, tags, reminders, queue updates, dashboard records, or working records without separate approval. If a tool cannot be automated safely or reliably, the workflow may require a fallback path, manual review, or reduced scope.

LinkedIn publishing or analytics will be enabled only through an approved LinkedIn API product and permitted scopes. A post will not be published without the configured client approval. If LinkedIn's terms, product approval, documentation, or access tier does not permit a requested feature, that feature will remain disabled.

10. Content, media, and rights

You retain ownership of the content and materials you provide, subject to the rights you grant us to operate the service. You grant Always Staffed permission to host, process, copy, transform, analyze, summarize, display, and use submitted content as needed to provide, secure, troubleshoot, and improve the agreed services.

You are responsible for ensuring you have the rights to upload and use photos, videos, logos, testimonials, customer stories, product images, music, fonts, names, likenesses, offers, and other materials. We may reject, remove, or refuse to use content that appears unlawful, unsafe, infringing, misleading, abusive, spammy, regulated beyond scope, or platform-violating.

11. Payments, subscriptions, and third party costs

Pricing, billing cadence, setup fees, monthly fees, deposits, renewals, cancellation terms, and included scope are shown in the checkout flow, invoice, proposal, or signed agreement. Payments may be processed by Stripe or another payment provider.

Unless expressly included in writing, client-owned software subscriptions, AI usage, social platform fees, CRM costs, phone costs, ads spend, data providers, paid APIs, premium platform plans, and other third party charges are separate client responsibilities.

12. Acceptable use

You may not use Always Staffed sites, dashboards, agents, or workflows to violate law, infringe rights, send unlawful spam, deceive people, harvest data without authorization, bypass platform rules, distribute malware, abuse third party services, impersonate others, upload illegal content, or instruct an AI agent to perform unsafe or unauthorized actions.

We may refuse, pause, limit, or terminate work that we believe creates legal, security, platform, safety, reputational, or operational risk.

13. Privacy and data processing

Our Privacy Policy explains how we collect, use, store, process, and share information. For clients that require more specific data-processing obligations, those should be documented in a data processing addendum or signed client agreement.

Optional analytics is governed by the Privacy Policy and the Analytics settings control. You may decline or withdraw optional analytics without losing access to the public site or dashboard.

14. Disclaimers

The sites, dashboards, demos, AI outputs, workflows, and services are provided on an as-is and as-available basis unless a signed agreement says otherwise. We do not guarantee revenue, lead volume, appointment volume, deliverability, search ranking, platform reach, social engagement, follower growth, compliance outcomes, uninterrupted service, error-free operation, or that every requested integration will remain available.

15. Limitation of liability

To the fullest extent allowed by law, Always Staffed will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, including lost revenue, lost data, lost business opportunity, lost goodwill, platform restriction, account suspension, content takedown, service interruption, provider outage, or third party policy change.

To the fullest extent allowed by law, Always Staffed's total liability for claims related to the public sites, dashboard, demos, or services is limited to the amount paid to Always Staffed for the specific service giving rise to the claim during the three months before the event, or one hundred Canadian dollars if no amount was paid, unless a signed agreement states a different limit.

16. Indemnity

You agree to defend, indemnify, and hold Always Staffed harmless from claims, damages, losses, costs, and expenses arising from your content, uploaded media, connected accounts, instructions, unlawful use, platform-policy violations, customer data, regulated claims, lack of required rights or consents, or breach of these Terms or a third party's terms.

17. Changes, suspension, and termination

We may update the sites, dashboard, workflows, providers, features, and these Terms as services evolve. We may suspend or terminate access where required for security, nonpayment, misuse, legal risk, provider changes, platform restrictions, or scope changes.

Termination may not immediately delete backups, logs, audit records, invoices, legal records, or third party platform data. Data handling after termination should be governed by the applicable Privacy Policy, signed agreement, or data processing addendum.

18. Governing law

Unless a signed agreement says otherwise, these Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-law rules. Subject to any mandatory law, the courts located in Edmonton, Alberta will have exclusive jurisdiction. Client-specific contracts may set a different governing law, venue, or dispute process.
